Wallet Policy

Please read the following terms and conditions carefully. By accessing or utilizing the service offered through the Purple Panda Fashion Limited website, mobile/tablet application, www.clovia.com (collectively referred to as "Platform"), you acknowledge and agree to be bound by the terms outlined herein, as well as any terms incorporated by reference.

2. Definitions

In these terms and conditions, unless repugnant to the context or meaning thereof, the terms defined herein shall have the meaning as under:

  • Clovia Wallet: A prepaid wallet used for payments for any-all categories of items on the Platform.

3. These Terms and Conditions ("Terms")

These Terms govern your use of the Clovia Wallet created on the Platform for transactions related to services available on the Platform. This wallet is the property of Purple Panda Fashion Limited and must be surrendered upon request. These Terms apply to all aspects of your Clovia Wallet, including but not limited to payments, disputes, and chargebacks related to Products and services availed on the Platform using this Clovia Wallet.

By using the Clovia Wallet, you acknowledge that you have read, understood and agreed to the Terms. Please ensure that you review these Terms thoroughly before using the Clovia Wallet and retain a copy for your records. Your continued use of the Clovia Wallet constitutes your acceptance of these Terms in entirety and it is your responsibility to review these Terms periodically for any updates.

4. Eligibility

In order for you to be eligible for using the Clovia Wallet, you must possess the legal capacity to enter into a contract, which includes having attained the age of majority as defined under Indian law. The Clovia Wallet is neither intended for nor targeted at individuals who have not reached the age of majority. Individuals under the age of 18 (Eighteen) may use the Clovia Wallet only under the supervision of a parent or a legal guardian. By permitting a minor to use the Clovia Wallet, the parent or legal guardian assumes full liability for all transactions made through the Clovia Wallet and agrees to be bound by these Terms on behalf of the minor.

5. About your Clovia Wallet and loading value

5.1

This Clovia Wallet is issued to you by Purple Panda Fashion Limited as soon as you register on the Platform while accepting these Terms. This wallet can only be loaded by Clovia in the following scenarios:

  • Refunds for returns on the Platform: Upon approval and completion of returns under the Return & Exchange Policy, you can opt for refunds to your Clovia Wallet or source bank account. Refunds to the Clovia Wallet will be credited within 24 hours. (For the sake of clarity, the above mentioned shall be applicable in instances where the customer mistakenly returns more than intended Products from the same order as well as in cases where any Product is missing or damaged in the order delivered.)
  • Exchange: In instances where an order is placed as an exchange, should you want to create return for the Product, a refund in this instance shall be provided in your Clovia Wallet. Return to Origin (RTO): In instances where a Product is not delivered and marked as RTO, the same shall be marked as cancelled and the amount of the order placed on the Platform shall be credited into the Clovia Wallet.
  • Error in bank details provided by customer: The customer is solely responsible for providing accurate bank account details (including account number, IFSC code, and account holder name) for refund processing. Where a customer furnishes incorrect bank details and Clovia processes the refund in good faith to the account details so provided, Clovia shall be deemed to have discharged its refund obligation in full and shall not be liable to reprocess or reissue such refund. The customer's recourse in such circumstances shall lie against the holder of the account to which the refund was credited. Clovia shall provide reasonable assistance, to the extent permissible under applicable law, including RBI guidelines, to support the customer's recovery efforts.
  • Promotional Credits: Promotional credits added to your Clovia Wallet are subject to the terms of the respective offers or campaigns. At Clovia's discretion, promotional credits may be added during specific offers or campaigns. These credits are non-transferable, non-refundable, and must be utilized within the timelines prescribed under such respective offers or campaigns. Clovia reserves the right to modify or withdraw promotional credits at its sole discretion. For sake of clarity, promotional credits cannot be combined with other offers, discounts, or promotions unless explicitly stated in the terms of the respective offer.

5.2

All amounts loaded onto your Clovia Wallet are held and denominated in Indian Rupees. The maximum permissible amount that can be held in the Clovia Wallet at any given time is ₹10,000/- (Rupees Ten Thousand only). Any additional amount beyond this limit, resulting from eligibility for offers/promotions or refunds, will either be held on reserve by Clovia or will lapse entirely, as determined at Clovia's discretion.

5.3

The amount credited in the Clovia Wallet can only be redeemed towards the purchase of eligible Products and services on the Platform. Fund transfers to bank account, other wallets or cash withdrawal or conversion of wallet amount shall not be permitted at any point of time, except for permanent closure of Clovia Wallet or explicit direction from a regulatory authority.

5.4

For orders placed on the platform with partial payment through the Clovia Wallet and the remainder via prepaid or cash on delivery, refunds will be processed as follows:

  • Prepaid mode: The refund will be made in the same manner as the original payment. Specifically, the amount deducted from the Clovia Wallet will be credited back to the wallet, while the remaining amount will be refunded to your original payment source.
  • Cash on delivery mode: The portion paid from the Clovia Wallet will be credited back to the wallet. For the remaining amount, you will have the option to choose between a refund to your source bank account or a credit to your Clovia Wallet.

6. Receipts and Statements

6.1

Clovia Wallet holders will not receive itemized transaction statements via their registered email. The Clovia Wallet balance or recent transactions can be accessed by logging onto the Clovia Platform.

6.2

The Clovia Wallet must be used for purchasing goods and availing of services on the Platform. Upon using your Clovia Wallet, the details of your orders and payments will be available in the My Order section of your Clovia account. The remaining balance in your Clovia Wallet can be viewed under the My Order section. Please review your order and payment details to ensure the accuracy of your wallet's balance.

7. Billing errors and Corrections

Clovia retains the right to adjust the balance in your Clovia Wallet if a clerical, billing, or accounting error is identified. For inquiries about your transaction history or updated account details, please reach out via email at [email protected].

8. Registration, Liability for unauthorized transactions

You are solely responsible for all transactions linked to your Clovia Wallet, including those deemed unauthorized. The wallet does not have a distinct authentication password or PIN; it can be accessed and used for transactions after logging into the Platform through a mobile number-password combination or mobile number- One Time Password (OTP) authentication. Since the mobile application remains logged in by default, anyone with access to your device can access the app and, subsequently, your wallet. By using the wallet, you accept full responsibility for any unintended or unauthorized access.

9. Blocking of Clovia Wallet

Clovia reserves the right to block your Clovia Wallet immediately and without prior notice under the following circumstances:

  • fraudulent activities, including unauthorized transactions or attempts to manipulate the Clovia Wallet;
  • repeated or baseless refund claims inconsistent with the Return & Exchange Policy of Clovia;
  • failure of quality check process in case of returns;
  • any violation of any of the policies applicable to you or the applicable law;
  • Requests from law enforcement agencies, regulatory authorities, or government bodies to block the wallet.

10. Settlement of wallet amount to customer in case of blocking of Clovia Wallet (Account closure)

If Clovia blocks your Clovia account due to a breach of the Terms, the eligible balance will be refunded to your source account within 15 (Fifteen) business days after adjusting any cashback, promotional credits, or fraudulent transactions.

In the event of voluntary closure of your Clovia Wallet, the balance will be refunded to your source account within 15 (Fifteen) business days of submitting a closure request through the Platform, subject to completion of Know Your Customer (KYC) verification as per regulatory requirements.

11. Settlement of wallet amount in case voluntary closure of account

If you choose to discontinue using the Platform and wish to close your account, the remaining balance in your Clovia Wallet will be refunded to your source account. This will be done after adjusting for any cashback, promotional points, or fraudulent transactions.

To initiate the process, you must raise a request through the Platform's customer delight team. The refund will be processed within 15 days of successfully submitting the request, provided you furnish the required KYC documents, as applicable.

12. Privacy Statement

12.1

You hereby grant Clovia the authority to disclose your information to government or competent authorities, credit bureaus, or other third parties as required to comply with legal obligations. Additionally, you authorize Clovia to use your information for offering Products and services, including those from its associates or partners, unless you explicitly specify otherwise or as mandated by applicable law.

12.2

For details regarding the collection, use, and disclosure of information related to the Clovia Wallet, as well as how to manage your privacy preferences for certain promotional communications, please refer to our Privacy Statement available on our website.

13. Changes to these Terms & Conditions

We reserve the right to suspend or terminate these Terms and Conditions at any time, as well as revoke or restrict any or all rights and privileges granted to you, without prior notice or liability. Additionally, termination may occur in the event of fraudulent or unauthorized use of the Clovia Wallet.

14. Limited Liability

14.1

Clovia, its affiliates, officers, employees, directors, agents etc., make no representations, warranties, or conditions of any kind, whether express or implied, regarding the Clovia Wallet. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement, as well as any warranties arising from trade usage, course of dealing, or performance. Clovia does not guarantee that your Clovia Wallet will always be accessible or accepted.

14.2

In the event that Clovia or its affiliates are found liable to you, your recovery shall be limited to actual and direct damages, not exceeding the last balance held on your Clovia Wallet. Clovia and its affiliates shall not be liable for any incidental, indirect, or consequential damages, including but not limited to loss of profit, revenue, or use, arising out of or connected with this Agreement, regardless of the legal theory involved (contract, warranty, tort, Product liability, strict liability, etc.), even if Clovia or its representatives have been advised of the possibility of such damages. Clovia and its affiliates shall not be held responsible for unauthorized access to, alteration, theft, or destruction of a Clovia Wallet caused by accident, misuse, fraudulent means, or circumstances beyond our control. Additionally, Clovia is not liable for non-fulfillment of terms due to reasons beyond its reasonable control.

14.3

Certain jurisdictions may not allow limitations on implied warranties or the exclusion of specific types of damages. If these laws apply to you, some or all of the disclaimers, exclusions, or limitations outlined above may not apply, and you may have additional rights. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.

14.4

The decisions of Clovia's management shall be final and binding at all times.

15. Assignment

We reserve the right to assign all or a portion of these Terms without such assignment being deemed a modification to the Terms and without prior notice to you. Upon assignment, we shall be released from all liabilities under these Terms and Conditions. The assignee will assume the same rights and obligations as the assignor and shall expressly agree in writing to be bound by these Terms.

16. Entire Terms & Conditions, Construction and Severability

These Terms & Conditions constitute the complete and exclusive agreement between you and Clovia, superseding and replacing all prior proposals, arrangements, or agreements. If any provision of these Terms and Conditions is deemed illegal or unenforceable, such provisions shall be removed or limited to the minimum extent necessary, ensuring that the remaining provisions remain in full force and effect. The headings herein are for the convenience of reference only and shall in no way affect interpretation of these Terms.
